These Terms and Conditions ("Terms") govern your access to and use of the websites, mobile applications, APIs, and related services (collectively, the "Services") provided by Barvy LLC ("Barvy," "we," "us," or "our"). By downloading, browsing, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Services. Continued use constitutes acceptance of these Terms as they may be updated from time to time.
1. Definitions
In these Terms, the following terms have the meanings below:
- "Account" means a user account created as part of registration.
- "Content" means text, images, audio, video, prompts, or other material you submit to or generate through the Services.
- "Services" means all products, websites, applications, APIs, and related offerings provided by Barvy.
- "User" means any person who accesses or uses the Services, including you.
2. Eligibility
You must be at least 13 years of age to use the Services. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian. By using the Services, you represent that you meet these requirements and have the legal capacity to enter into these Terms.
3. Accounts and Registration
Some features require you to create an Account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account. You agree to provide accurate, complete information and to update it promptly when it changes. Notify us immediately of any unauthorized use of your Account.
4. General Use of the Services
The Services are intended for lawful use. You are responsible for ensuring your use complies with applicable laws in your location. We may restrict, suspend, or block access to the Services at our discretion where we believe it is necessary to protect the Services, other users, or third parties.
Access to the Services requires compatible devices, software, and internet connectivity. You are responsible for any charges from your device provider, network operator, or other third parties incurred while using the Services. If you use the Services on a device or account not owned by you, you represent that you have permission from the account holder or bill payer.
5. License to Use the Services
Subject to these Terms, Barvy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes, as permitted by the features available to you. No other rights are granted.
6. User Content and License
By submitting Content through the Services, you represent that you own the Content or have all necessary rights and permissions to submit it. You grant Barvy a worldwide, royalty-free, non-exclusive license to use, store, reproduce, process, and display your Content solely as needed to operate, provide, maintain, and improve the Services, including generating AI-powered output you request.
You retain ownership of Content you submit, subject to the license above and applicable law. Barvy does not claim ownership of your original inputs except as necessary to deliver the Services.
7. AI-Generated Content
The Services may produce images, audio, text, video, or other output using artificial intelligence. You acknowledge that AI-generated output may be inaccurate, incomplete, unexpected, or similar to content generated for others. You are solely responsible for reviewing, using, publishing, and distributing any output, including ensuring compliance with applicable laws and third-party rights.
8. Acceptable Use and Prohibited Conduct
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Generate, upload, or distribute unlawful, harmful, abusive, defamatory, obscene, or infringing content
- Reverse engineer, decompile, scrape, or attempt to extract source code or underlying models from the Services
- Circumvent usage limits, authentication, billing controls, or security measures
- Introduce malware, viruses, or other harmful code, or interfere with the operation of the Services
- Access data or systems you are not authorized to access
- Impersonate another person or entity, or provide false registration information
- Resell, sublicense, or commercially exploit the Services without our written consent
- Engage in fraudulent transactions or abuse refund, trial, or promotional programs
- Use the Services in a manner that imposes an unreasonable load on our infrastructure or restricts others from using the Services
We may remove Content, suspend Accounts, or terminate access if we reasonably believe you have violated these rules.
9. Subscriptions and Billing
Certain features are available only through paid subscription or usage-based plans. Plan details and pricing are displayed within the Services or on our website at the time of purchase.
- Subscriptions activate once payment is verified.
- Paid plans may renew automatically on a recurring basis unless you cancel before the next billing cycle.
- You authorize us or our payment partners to charge your selected payment method for applicable fees and taxes.
- Failure to process payment may result in immediate suspension of paid features.
- We may change subscription plans or pricing; changes generally apply on your next renewal unless otherwise stated or required by law.
- Unless required by law or stated at purchase, fees are non-refundable.
Purchases made through an app store are also subject to that platform's terms and refund policies.
10. Intellectual Property
Barvy and its licensors retain all rights, title, and interest in the Services, including software, branding, documentation, and other materials. Except for the limited license granted in these Terms, no rights are transferred to you. You may not copy, modify, distribute, or create derivative works from the Services without our prior written permission.
Trademarks, logos, and trade names displayed in the Services belong to Barvy or their respective owners. Unauthorized use is prohibited.
11. Privacy
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share personal information. By using the Services, you acknowledge that you have read and understood the Privacy Policy.
12. Service Availability and Changes
We use reasonable efforts to keep the Services available and accurate, but we do not guarantee uninterrupted or error-free operation. The Services may be suspended, restricted, modified, or discontinued temporarily or permanently, including for maintenance, updates, or business reasons.
We may update, remove, or change features, content, or pricing at any time. We are not liable for errors, omissions, or interruptions in the Services. If you notice a problem, please reach out through the contact form on our website.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL CODE, OR THAT ANY OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE. USE OF THE SERVICES IS AT YOUR OWN RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARVY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BARVY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain exclusions or limitations; in those cases, our liability is limited to the fullest extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Barvy and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your Content; (c) your violation of these Terms; or (d) use of the Services through your Account by any other person with or without your permission.
16. Suspension and Termination
We may suspend or terminate your access to the Services immediately if you breach these Terms, if we suspect fraud or unlawful activity, or if we discontinue the Services. You may stop using the Services at any time.
We may cooperate with law enforcement or comply with court orders requiring disclosure of information related to use of the Services. Provisions that by their nature should survive termination will remain in effect.
17. Electronic Communications
You acknowledge that communications between you and Barvy may occur electronically. While we take reasonable steps to protect information, you accept that electronic transmission is not completely private and may be accessed by unauthorized parties.
18. Changes to These Terms
We may amend these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
19. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You agree that courts located in Delaware shall have exclusive jurisdiction over disputes arising from these Terms or the Services, unless otherwise required by applicable law.
